Terms of use Annotation hub “Service providers”

Annotation-hub (hereinafter A-hub) is registered with the Chamber of Commerce under number 81287259 and is located at Groenloseweg 41I (7101AB) in Winterswijk.

Article 1 – General

1. In these Terms of Use, the following terms are used in the following meanings unless expressly stated otherwise.

2. Advertisement: An advertisement placed on the Platform by a User.

3. A-hub: The service provider that makes the use of the Platform available to a User.

4. Services: The facilitation of a Platform on which a User can place an Advertisement.

5. User: A natural or legal person in the exercise of profession or business who uses the Platform to advertise.

6. Agreement: The Agreement and other obligations between User and A-hub, for Services provided by A-hub to User and accepted by User and accepted and performed by A-hub.

7. Platform: the website [URL] and or other online application of A-hub.

Article 2 – Applicability.

1. These Terms of Use apply to any Agreement between A-hub and User. These Terms of Use do not apply to A-hub’s Services with respect to the taking note of an Advertisement on the Platform by third parties herewith the “Purchase” Terms of Use apply.

2. Deviation from these terms of use is not possible.

3. The terms of use of User in the exercise of profession or business are excluded.

4. These terms of use are agreed upon the moment Users visit the Platform (Logged in or not logged in) and/or use the information offered on the Platform.

5. the Platform of A-hub is in principle not accessible to minors, unless the minor (aged 16 years or older) can prove that she has the written consent of a parent and/or legal guardian showing that the minor may independently perform the act in question, unless the act in question is customary to perform in society without written consent.

6. As a provider of the Platform, A-hub is not a contracting party to the agreement that may be established between Users.

7. A-hub has no control over, and never guarantees the quality, suitability, completeness, accuracy, (il)legality, ratings and/or reviews of the Advertisements, or the User who placed the Advertisement in question. Any images attached to the Advertisement are for display purposes only and can never be considered an approved image by A-hub.

8. The content of posted ads or parts thereof may be displayed on other websites, applications, emails, social media and in other online and offline advertisements.

9. the Platform may contain links to third party websites. Other cookies and/or privacy statements may apply to the third party websites. A-hub is not responsible or liable for the availability or accuracy of the (content of the) third party websites. A link on the Platform to a third party shall never be considered as an endorsement by A-hub of the (services of) the third party.

10. The User is prohibited from assigning the Agreement to a third party, unless expressly agreed otherwise in writing.

Article 3 – Description of Services.

A-hub’s Services are to facilitate a Platform on which a User can post an Advertisement in order to showcase it’s annotation agancy / annotation-skills as a freelancer to the world.

Article 4 – Use of the Platform

1. A-hub may impose further restrictions or conditions on access to and use of certain parts or features of the Platform such as, but not limited to, account creation, completion of a verification process and meeting specific quality or eligibility criteria.

2. Verification of Users is not foolproof. Nevertheless, A-hub takes all reasonable measures that can be expected of it regarding the verification process. In this regard, a User may be required to provide some form of (government) identification or other information.

3. User shall ensure that all data, which A-hub indicates are necessary or which User should reasonably understand are necessary for access and/or use of the Platform.

4. A-hub is not liable for damages, of any nature whatsoever, incurred because A-hub has relied on incorrect and/or incomplete data provided by the User, unless such incorrectness or incompleteness was known to A-hub.

5. A User has access to the information as published and displayed on the Platform. User is at all times responsible for all data and information that User posts on the Platform or in its account. If User suspects that the information provided by User is incorrect or incomplete, User will inform A-hub without delay and still leave the correct information. User must keep its own data up-to-date and for this purpose can update its data in its own account.

6. A-hub is entitled to modify and/or replace (parts of) the Platform, as well as its Services. User will be informed of any changes in a timely manner. User cannot claim to retain certain parts of the Platform, as well as the Services.

7. User grants to A-hub the following non-exclusive, transferable, and not time and place limited rights to the transmitted data relating to the Advertisement:

  1. the right to archive and store, more specifically to record the data electronically, to include it in the archive, to store it on all known storage media and on any data carriers, and to link it to other data files or parts thereof;
  2. the right to reproduce and distribute the data by means of storage, and to make available or distribute through electronic media in whole or in part;
  3. the right to use data for the purpose of analysis, to contribute to the development of the Platform, for product development and product marketing.

8. Use of the Platform ends:

  1. because the Agreement ends by operation of law as a result of the Services having ended;
  2. by a Written notice from User to the Administrator that User no longer wishes to use the Services;
  3. by the deactivation or deletion of User’s account by User;
  4. by the deactivation or deletion of User’s account by A-hub.

Article 5 – The Account

1. Each User must create an account for the purpose of accessing and using certain features of the Platform, such as publishing or viewing an Advertisement. For the User, the person making the registration represents and warrants that User has the authority to legally bind the company and provides all necessary consents and licenses to A-hub necessary for the proper performance of the Agreement.

2. The account can be registered with an e-mail address and a password.

3. The User is obliged to provide accurate and complete information during account registration and to keep the account up-to-date at all times.

4. Each User may register only one account unless expressly agreed otherwise in writing. The account is personal and may not be transferred.

5. User is solely responsible for his or her login details and should not provide these login details to third parties. If a User suspects that the login details have been lost, stolen or possible unauthorized use of the account, User must contact A-hub immediately. User is himself liable for all activities carried out through his own account and any damage resulting from unauthorized use of the account.

6. Only after the account has been created can a User perform actions on the Platform.

7. The User can delete the account himself and is responsible for this.

Article 6 – Placing an advertisement

1. Each User has an independent responsibility for all content that the User makes available on or through the Platform. By posting information on the Platform, User guarantees that it is the owner of all data it publishes, or is authorized/privileged to publish/public such information on the Platform. User warrants that any information and/or data it publishes through the Platform does not infringe the intellectual property rights of any third party or violate any applicable laws/ and regulations.

2. Any User is further prohibited from uploading an Advertisement, posting comments or otherwise publishing content on the Platform and/or distributing content via the Platform in violation of Dutch laws and regulations, which in any case includes: data without the consent of the copyright holder, defamatory information, or information that insults, intimidates, is defamatory, discriminates, threatens, is racist in nature, is violent, hateful, offensive, obscene, and information that contains child pornography or otherwise punishable pornography. Also, information that violates the privacy of third parties (also stalking), as well as torrents, viruses, spam, backlinks and hyperlinks (pointing to such information on third-party websites), loans, lotteries and/or gambling (gambling), drugs as well as any other type of harmful and/or illegal content that may harm third-party Internet or email traffic or the Platform. A-hub may remove the posted content, which contains one or more of the aforementioned contents. A-hub will notify the relevant User who posted the content. A-hub respects the copyright of third parties and expects the Users of the Platform to do the same.

3. Each User agrees, by uploading, publishing or otherwise making information and/or data available to third parties via the Platform, that User is providing a free, non-exclusive, worldwide, sublicensable and transferable (usage) license for the relevant content for the purpose of exploitation and commercialization rights. This includes, but is not limited to, A-hub’s right to use, copy, publish, modify and share and/or promote (parts thereof) the content for the benefit of the Platform on the Internet and/or (social media) channels.

4. If User suspects that the information provided by him is incorrect or incomplete, User shall inform A-hub without delay and still leave the correct information and/or correct any defects himself.

5. A-hub is not liable for damages caused by complications related to the availability or operation of third-party information, as well as damages resulting from use of the Platform in violation of terms and conditions or for purposes other than those for which the Platform is intended.

6. A-hub is not liable for the display quality of the image(s) displayed in the Advertisement on the Platform and in particular not for color deviations.

Article 7 – Suspension and dissolution Advertisement

1. A-hub has the right to suspend User’s Advertisement (and/or its other Services) if the content of the Advertisement violates these terms and conditions, or the Advertisement is misleading or otherwise causes damage to other Users or third parties.

2. The right of withdrawal is excluded for the User in the exercise of profession or business.

Article 8 – Notice and Takedown

1. In the event of (possible) criminal acts, A-hub is obliged to report these and hand over the data provided by User to the competent authorities, as well as to perform all actions required of it within the framework of the investigation. A-hub is entitled to deny the User access to the Platform and/or terminate the use of the Platform.

2. In addition to the obligations under the law, damage caused by incompetence or failure to act in accordance with the above points will be at the User’s expense and risk.

3. User is solely responsible for the proper security of the (mobile) device on which User uses the Platform, as well as for securing and keeping secret his/her own login details.

4. If and to the extent there is an infringement of rights of A-hub or third parties and/or unlawful conduct by User, A-hub is also entitled to remove User’s account or otherwise place restrictions on the use of User’s account such as restricting or disabling the posting of Advertisements and more. A-hub will remove any infringing/harmful information immediately. In no event shall A-hub be liable for any damages suffered by User of any kind as a result of User’s actions.

5. Any User may report indications and/or complaints to A-hub about infringing or illegal Advertisements, or complaints about other Users. A report can be made via support@annotation-hub.com

Article 9 – Platform Availability

1. A-hub does not guarantee that the Services will always meet the expectations raised in advance. A-hub makes every effort to offer (access to) the Platform to the User to the extent possible, without interruption, but does not guarantee the full availability of the Platform at all times. A-hub is entitled to suspend the use of the Platform if and insofar as, in its opinion, there is a danger to the flawless functioning of the Platform. A-hub is further entitled to take all measures it reasonably deems necessary to ensure the effective functioning of the Platform.

2. A-hub is not responsible for (dis)disruptions of the Internet, telecommunications infrastructure beyond A-hub’s control which may lead to interruptions in the availability of the Platform. A-hub may, temporarily and with due regard for the legitimate interests of Users, limit the availability of the Platform if A-hub deems it necessary in view of any capacity limits, the security/integrity of A-hub’s servers, or to carry out maintenance on the Platform. A-hub is entitled to carry out maintenance on the Platform and may introduce new functionalities and. A-hub will notify Users as much as possible of any changes to the Platform, unless such changes are of a minimal nature without materially affecting any contractual obligations.

3. A-hub has never responsibility over and/or influence on the offered, and gives no guarantee about the quality of the offered, the competence of a User to offer the offered, nor about the accuracy and completeness of the offered information.

Article 10 – Prices

1. The prices of the Services is in accordance with the offer displayed on the Platform.

2. The prices stated in the offer are inclusive of VAT, unless expressly stated otherwise.

3. A-hub is entitled to make price changes without prior notice.

Article 11 – Payment

1. User is obliged to pay the cost of the Services prior to the placement of the Advertisement.

2. User shall pay these charges in a lump sum through a paymentprovider chosen by A-hub. A-hub is never responsible for any payment mistakes.

Article 12 – Intellectual property

1. Any User is prohibited from copying and/or otherwise reproducing, disclosing or modifying the (content of the) Platform without the prior written consent of A-hub. This also includes the content of the Advertisements.

2. The (content of) the Platform and Advertisements may be protected by intellectual property rights and/or trademarks. By using the Platform, each User agrees that the intellectual property rights belong to A-hub and/or the User who placed the Advertisement. The User is expressly prohibited from infringing on the intellectual property rights of A-hub and third parties, as well as the good name of A-hub. All intellectual property rights and copyrights of the Platform, including the graphic designs, ideas and the like belong exclusively to A-hub and are expressly not transferred to User. A User is prohibited from using, modifying, copying, licensing, selling or otherwise exploiting the Content. A User has only a limited right to use the Platform.

Article 13 – Limitation of Liability.

1. A-hub is not liable when it is unable to fulfill its obligations as a result of a force majeure situation, nor can it be held to fulfill any obligation if it is prevented from doing so as a result of a circumstance which is not attributable to its fault, and which is not for its account by virtue of the law, a juristic act or generally accepted practice. Force majeure shall in any case include, but is not limited to, what is understood in this respect in the law and jurisprudence, (i) force majeure of A-hub’s suppliers, (ii) failure to properly fulfil the obligations of suppliers, (iii) defectiveness of goods, equipment, software or materials of third parties, (iv) government measures, (v) electricity failure, (vi) failure of internet, data network and telecommunication facilities (for example due to: cybercrime and hacking), (vii) natural disasters, (viii) war and terrorist attacks, (ix) general transport problems, (x) strikes at A-hub’s company and (xi) other situations which, in A-hub’s opinion, fall outside its sphere of influence that temporarily or permanently prevent the fulfillment of its obligations.

2. If and to the extent that any provision of law does not prohibit it, A-hub excludes all liability for damages suffered by User by virtue of (i) the use of A-hub’s Services, (ii) the offerings of (other) Users via the Platform, (iii) the non-availability or incomplete or secure availability of the Platform, (iv) changes in, to or on the Platform or A-hub’s Services and (v) any incorrect and/or incomplete information on the Platform.

3. A-hub excludes all consequential damages.

4. If and insofar as A-hub proves to be liable, its liability shall be limited to the maximum amount paid by the User to A-hub in the context of the Agreement, but at most up to one year (12 months) prior to the event causing the damage, or at least up to a maximum amount of 250 euros.

5. All claims of the User on account of shortcomings on the part of A-hub shall lapse if they have not been reported to A-hub in writing and motivated within one year after the User was aware or could reasonably have been aware of the facts on which it bases its claims. One year after the termination of the Agreement between the parties, A-hub’s liability lapses.

Article 14 – Indemnification

User shall indemnify A-hub for claims of third parties with respect to damages suffered by them on the basis of (i) the use of the Offered, (ii) the use of Services of A-hub, (iii) the unlawful content of the Advertisement and/or the Offered.

Article 15 – Complaints

1. If a User is not satisfied with A-hub’s Services, User is obliged to report these complaints as soon as possible, but at the latest within 7 calendar days after the relevant occasion that led to the complaint. Complaints can be reported verbally or in writing via support@annotation-hub.com with the subject line “Complaint”.

2. The complaint must be sufficiently substantiated and/or explained by User for A-hub to be able to handle the complaint.

3. A-hub will respond substantively to the complaint as soon as possible, but no later than 7 calendar days after receipt of the complaint.

4. The parties will try to reach a solution jointly.

Article 16 – Changes to terms of use

1. A-hub is free at any time to modify (parts of ) the Platform, as well as the content of its Services and these Terms of Use.

2. The amended Terms of Use will be published on the Platform with the latest updated date. A-hub will announce the changes or additions so that Users can take note of them.

3. Use of the Platform after the effective date of Terms of Use shall constitute acceptance of the amended or supplemented terms.

Article 17 – Other provisions

1. The Terms of Use are governed by Dutch law.

2. All disputes arising from or as a result of the agreement between A-hub and User, or from the use of the Platform by User shall be settled by the competent court of the District Court of Gelderland unless provisions of mandatory law designate another competent court.

3. The version of communication or information as stored by A-hub is deemed to be correct, unless User provides evidence to the contrary in this regard.

4. If any provision of these Terms of Use is found to be invalid, this shall not affect the validity of the entire Terms of Use.

5. A-hub is entitled to transfer its rights and obligations under the Terms of Use to a third party who acquires A-hub or the relevant business activity from it.

7. Buyer: A User, a natural or legal person acting in the exercise of a profession or business, who uses the Platform.

8. Agreement and other obligations between User and A-hub, for Services provided by A-hub to User and accepted by User and accepted and performed by A-hub.

9. Seller: The natural person or legal entity acting in the exercise of a profession or business, who has placed in an Advertisement on the Platform

10. Platform: the website [URL] and or other online application of A-hub.

Article 2 – Applicability.

1. These terms of use apply to the services between A-hub and User. These terms of use are agreed upon the moment Users visit the Platform (Logged in or not logged in) and/or use the information offered on the Platform. These terms of use do not apply to the service regarding advertising on A-hub’s Platform. When advertising, “Sales” terms of use apply.

3. Deviation from these terms of use is not possible.

4. In principle, the Platform of A-hub is not accessible to minors, unless the minor (aged 16 years or older) can prove that she has written permission from a parent and/or legal guardian showing that the minor may independently perform the action in question, unless the action in question is customary to perform in society without written permission.

5. A-hub has no control over, and never guarantees the quality, suitability, completeness, accuracy, (il)legality, ratings and/or reviews of the Advertisements, or the Seller who placed the Advertisement in question. Any images attached to the Advertisement are for display purposes only and can never be considered an approved image by A-hub.

Article 3 – Description of Services.

A-hub’s Services are the facilitation of a Platform on which a User can access an Advertisement and User and Seller are put in direct or indirect contact with each other.

Article 4 – Use of the Platform

1. A-hub may place further restrictions or conditions on access to and use of certain parts or features of the Platform such as, but not limited to, account creation, completion of a verification process and meeting specific quality or eligibility criteria.

2. Verification of Users is not foolproof. Nevertheless, A-hub takes all reasonable measures that can be expected of it regarding the verification process. In this regard, a User may be required to provide some form of (government) identification or other information. Also, A-hub has the right to screen Users based on public records of criminal convictions (if available).

3. User shall ensure that all data, which A-hub indicates are necessary or which User should reasonably understand are necessary for access and/or use of the Platform.

4. A-hub is not liable for damages, of any nature whatsoever, incurred because A-hub has relied on incorrect and/or incomplete data provided by the User, unless such incorrectness or incompleteness was known to A-hub.

5. A User has access to the information as published and displayed on the Platform. User is at all times responsible for all data and information it posts on the Platform or in its account. If User suspects that the data provided by him are incorrect or incomplete, User will inform A-hub without delay and still leave the correct information. User must keep its own data up to date and for this purpose can update its data in its own account.

6. A-hub is entitled to change (parts of) the Platform, as well as its Services.

Article 5 – The Account

1. The Platform is freely accessible to the User. A User must create an account for the purpose of using certain features of the Platform. For business users, the person making the registration represents and warrants that he/she has the authority to legally bind the company and provides all necessary consents and licenses to A-hub necessary for the proper performance of the Services.

2. The account can be registered with an e-mail address and a password.

4. The User is required to provide accurate and complete information during account registration and to keep the account up-to-date at all times.

5. Each User may register only one account unless expressly agreed otherwise in writing. The account is personal and may not be transferred.

5. User is solely responsible for his or her login details and should not provide these login details to third parties. If a User suspects that the login details have been lost, stolen or possible unauthorized use of the account, User must contact A-hub immediately. User is personally liable for all activities performed through their own account, unless User can prove that they were not negligent (failure to report the unauthorized use or loss of login information).

6. Only after the account has been created can a User perform actions on the Platform.

Article 6 – Notice and Takedown

1. In the event of (possible) criminal acts, A-hub is obliged to report these and hand over the data provided by User to the competent authorities, as well as to perform all actions required of it within the framework of the investigation. If and to the extent there is an infringement of rights of A-hub or third parties and/or unlawful conduct by User, A-hub is also entitled to remove User’s account or otherwise place restrictions on the use of User’s account such as restricting or disabling the posting of Advertisements, comments and more. A-hub will remove any infringing/harmful information immediately. Under no circumstances will A-hub be liable for any damages suffered by User of any kind as a result of User’s actions.

5. Any User may report indications and/or complaints to A-hub about infringing or illegal Advertisements, or complaints about other Users. A report can be made via [EMAIL].

6. A-hub reminds each User that it is up to each User to verify whether the Advertisement is true, or whether it is potentially a misleading Advertisement, or is otherwise a scam.

A-hub makes every effort to offer (access to) the Platform to the User to the extent possible, without interruption, but does not guarantee the full availability of the Platform at all times. A-hub never has any responsibility over and/or influence on the sale of the offered products by Seller, and does not guarantee the quality of the offered products, the competence of a Seller to sell the product, nor the accuracy and completeness of the offered information. Each User has an independent obligation to research the relevant product or service offered by a Seller through the Advertisement. All information and numbers displayed on the Platform are subject to spelling or typographical errors. A-hub shall never be liable if the service or product does not meet a User’s expectations.

Article 8 – Intellectual property

1. Any User is prohibited from copying and/or otherwise reproducing, disclosing or modifying the (content of the) Platform without the prior written consent of A-hub. This also includes the content of the Advertisements.

If and to the extent that any provision of law does not preclude it, A-hub excludes all liability for damages suffered by User by virtue of (i) the use of A-hub’s Services, (ii) the sale of (other) Users’ products through the Platform, (iii) the non-availability or incomplete or secure availability of the Platform, (iv) changes in, to or on the Platform or A-hub’s Services, and (v) any incorrect and/or incomplete information on the Platform.

3. A-hub excludes all consequential damages.

Article 10 – Indemnification

Article 12 – Changes to terms of use

1. A-hub is free at any time to modify (parts of ) the Platform, as well as the content of its Services and these Terms of Use.

2. The amended Terms of Use will be published on the Platform with the latest updated date. A-hub will announce the changes or additions so that Users can take note of them.

3. Use of the Platform after the effective date of Terms of Use shall constitute acceptance of the amended or supplemented terms.

Article 13 – Other provisions

1. The Terms of Use are governed by Dutch law.

2. All disputes arising between A-hub and User, or through the use of the Platform by User shall be settled by the competent court of the District Court of Gelderland unless provisions of mandatory law designate another competent court.

3. The version of communication or information as stored by A-hub is deemed to be correct, unless User provides evidence to the contrary in this regard.

4. If any provision of these Terms of Use is found to be invalid, this shall not affect the validity of the entire Terms of Use.

5. A-hub is entitled to transfer its rights and obligations under the Terms of Use to a third party who acquires A-hub or the relevant business activity from it.
